Tapa Private Wealth Inc. (“TPW,” “we,” “us,” or “our”) is a state-registered investment adviser based in Key West, Florida.
Florida is TPW’s home state for registration purposes. This does not mean TPW follows a lower, different, or less serious advisory standard than advisers registered in other states.
TPW is not registered with the U.S. Securities and Exchange Commission (SEC) because its regulatory assets under management are below the SEC registration threshold, and state registration is generally required below that level.
Registration does not imply any level of skill, training, expertise, or performance.
Services, Fees, Custody, and Fiduciary Duty
TPW provides (i) discretionary investment advisory services, (ii) non-discretionary financial planning and consulting services, and (iii) separate tax preparation services. Each service is provided only under a separate written agreement and may be subject to its own fee schedule.
TPW’s services are intended for U.S. residents and entities in jurisdictions where TPW is appropriately registered or exempt from registration.
TPW is compensated primarily through asset-based advisory fees and fixed or hourly fees for planning and tax services; TPW does not charge performance-based fees, and neither TPW nor its supervised persons receives commissions or other compensation based on the sale of investment products.
TPW does maintain a disclosed family relationship with an unaffiliated bookkeeping and tax-preparation firm, which may create a conflict of interest. TPW addresses conflicts through disclosure, adherence to its fiduciary duty, and allowing clients to select any service provider.
Client assets for investment advisory services are held at independent qualified custodians; TPW does not maintain physical custody of client funds or securities and is deemed to have custody only because of its authority to deduct advisory fees as authorized by clients.
As a fiduciary, TPW is required to act in its advisory clients’ best interests, to provide advice that it reasonably believes is suitable based on clients’ objectives and circumstances, and to place clients’ interests ahead of its own. TPW has adopted a written Code of Ethics that governs the conduct of its personnel and reflects its obligations to its clients.

Purpose of TPW Content
Some publishers, media channels, influencers, sponsors, ETF sponsors, fund sponsors, and market commentators may make speculative investment statements to their audiences, such as “these stocks will skyrocket” or “these stocks will be dumped,” including when the speaker does not have a professional financial background. These statements may attract attention, engagement, sponsorship value, product interest, or other financial benefits tied to speculation rather than balanced analysis.
TPW seeks to distinguish its content by focusing on fair and balanced analysis on factual data, including relevant risks, limits, uncertainties, and opposing factors. TPW does not intend to use its content to hype, promote, attack, or undermine any specific security, asset, asset class, investment product, issuer, company, fund, or strategy.
Trading Policy
To help reduce conflicts, when TPW discusses a specific security, asset, fund, cryptocurrency, token, ETF, investment product, or other investment instrument, TPW and its supervised persons will not directly buy or sell that same instrument for TPW proprietary accounts, employee accounts, or discretionary client accounts within three trading days before or after publication, unless needed for documented client-specific reasons, risk management, portfolio rebalancing, tax management, liquidity needs, client instructions, or legal, regulatory, or compliance duties.
Indirect exposure may still exist through diversified funds, ETFs, indexes, model portfolios, separately managed accounts, third-party managers, or broader investment strategies.
Sponsor and Platform Compensation Policy
Other publishers, media channels, influencers, sponsors, ETF sponsors, fund sponsors, and market commentators may be supported by financial-sector sponsors.
To maintain audience trust, TPW seeks to keep its content conflict-conscious. TPW does not accept paid sponsorships from financial-sector firms with a direct financial interest in the securities, assets, funds, products, or strategies discussed in TPW content.
TPW may receive compensation from video platforms, including advertising revenue, memberships, viewer-support features, or similar platform monetization tools. This compensation is based on general platform programs and viewer engagement. TPW does not treat general platform monetization as compensation from an issuer, sponsor, fund, financial-sector firm, or financial-product provider for discussing a specific security, asset, fund, product, or strategy.
TPW does not control platform-served ads. Any ad shown before, during, after, or near TPW content does not mean TPW endorses, recommends, approves, or sponsors the advertiser, product, service, message, or investment.
AI-Generated Presenter and Synthetic Media Policy
TPW may use AI-generated digital avatars and synthetic voices to present educational and marketing content.
TPW clearly identifies AI-generated human presenters and synthetic voices. The script and substantive claims are reviewed and approved by TPW before publication. TPW remains responsible for the content.
TPW does not use digital avatars to fabricate client testimonials, third-party endorsements, credentials, personal experiences, or statements that the represented person did not approve.
All content remains subject to TPW’s advertising standards. Claims must be truthful and supportable. Material benefits, risks, limitations, fees, eligibility requirements, and performance information must receive fair and balanced treatment.
TPW may also use AI for backgrounds, graphics, visual effects, editing, and other production enhancements.
Community Moderation
Comments, chats, replies, and other community features are for civil, respectful, and constructive discussion. TPW welcomes information, viewpoints, and opinions, but may review, preapprove, hide, remove, restrict, suspend, or ban comments or users at its discretion, including for compliance, legal, spam, scam, impersonation, abuse, harassment, misleading content, promotional content, off-topic content, confidential information, or requests for personalized advice.
